These Terms of Service (“Terms”) govern your use of Luna Labs websites, Luna WrapLab, concept-generation tools, customer portals, project-status tools, and other online services that link to these Terms (collectively, the “Services”).
These Terms also apply to your use of the Services to request concepts, quotes, estimates, design services, vehicle wraps, fleet graphics, architectural graphics, branding services, tint, upfitting, and related Luna Labs services.
By using the Services or submitting a project through WrapLab, you agree to these Terms.
About Luna Labs
Luna Labs provides creative, branding, vehicle-graphics, commercial-wrap, design, production, installation, and related services.
WrapLab is a Luna Labs tool that helps customers explore project ideas, generate visual starting points, submit design direction, communicate project preferences, and request real project quotes.
Eligibility
You must be legally capable of entering into a binding agreement to use the Services.
If you use the Services on behalf of a company or other organization, you represent that you have authority to act on its behalf.
The Services are not intended for children under 13.
WrapLab Concepts Are Starting Points
WrapLab concepts are visual starting points intended to help communicate design direction.
They are not:
- final artwork
- production-ready files
- installation proofs
- engineering drawings
- exact color proofs
- guaranteed representations of finished work
- binding quotes
Concepts may contain visual inaccuracies, approximations, distorted details, incorrect text, incomplete branding, or other artifacts.
Vehicle proportions, graphics, finishes, colors, materials, placement, reflections, lighting, accessories, and other details shown in concepts may differ from final production.
A Luna designer will review and refine project direction before approved production artwork is created.
Concept Selection Does Not Equal Final Approval
Selecting a WrapLab concept tells Luna Labs which visual direction feels closest to your preference.
It does not constitute final artwork approval.
Final production artwork may require:
- design revisions
- measurements
- vehicle templates
- site measurements
- production specifications
- legal or trademark review
- material selection
- written approval
Production will proceed only under the applicable project agreement, estimate, proof, or approval process.
Quotes and Estimated Price Ranges
Any price range shown in WrapLab is an estimate intended to help customers understand approximate project scope.
It is not a binding quote.
Actual pricing may vary based on factors such as:
- vehicle size
- vehicle count
- coverage
- vehicle condition
- design complexity
- materials
- printing requirements
- removal of existing graphics
- installation conditions
- travel
- scheduling
- upfit requirements
- architectural measurements
- selected additional services
A project becomes subject to binding pricing only when Luna Labs issues and the customer accepts the applicable written quote, estimate, proposal, order, or agreement.
If there is a conflict between these Terms and a signed project agreement, the signed project agreement controls for that project.
Additional Services and Expressions of Interest
WrapLab may allow you to indicate interest in services such as:
- Commercial Tint
- Ranger Design Upfit
- Architectural Graphics
- Brand Identity Package
- other Luna Labs or partner services
Selecting Interested does not purchase the service or add it automatically to your project.
It tells Luna Labs that you would like the service discussed as part of project review.
Scope and pricing for additional services will be confirmed separately.
Your Project Materials
You may submit logos, photographs, trademarks, copy, artwork, vehicle photographs, brand files, references, and other materials (“Customer Materials”).
You retain ownership of rights you already hold in Customer Materials.
You grant Luna Labs a non-exclusive license to use, reproduce, modify, process, display, and share Customer Materials as reasonably necessary to:
- operate WrapLab
- generate concepts
- create designs
- prepare quotes
- manufacture project materials
- coordinate service providers
- fulfill your project
You represent that you have sufficient rights and permissions to submit and use Customer Materials.
Do not submit material that infringes intellectual-property, privacy, publicity, or other rights.
Generated Concepts and Luna Labs Design Work
Visual concepts may be created using a combination of:
- customer-provided materials
- Luna Labs design systems
- templates
- automated tools
- artificial-intelligence-assisted tools
- designer work
Generated concepts may not be unique or exclusive, and similar outputs may be created for other users.
Unless otherwise agreed in writing, generated WrapLab concepts are provided for evaluating and pursuing a Luna Labs project and should not be treated as final transferable production artwork.
Ownership and permitted use of final custom artwork may be addressed in the applicable project agreement.
Intellectual Property
The Services and their underlying software, design systems, interface, branding, text, graphics, workflows, and Luna Labs intellectual property are owned by or licensed to Luna Labs.
Except as expressly permitted, you may not:
- copy or resell the Services
- reverse engineer the Services
- scrape or systematically extract Service content
- reproduce Luna Labs branding without permission
- use the Services to create a competing service through automated extraction or copying
- remove ownership notices
Acceptable Use
You may not use the Services to:
- violate applicable law
- infringe another person’s rights
- submit content you do not have authority to use
- upload malware or harmful code
- disrupt or interfere with the Services
- bypass access controls
- impersonate another person or organization
- attempt unauthorized access to accounts or systems
- use automated systems in a manner that materially burdens or damages the Services
- generate fraudulent, deceptive, defamatory, or unlawful project content
We may restrict access if we reasonably believe the Services are being misused.
Customer Responsibilities
You are responsible for reviewing and confirming information relevant to your project, including:
- company name
- logo
- phone number
- website
- spelling
- regulatory information
- vehicle details
- dimensions where provided
- final approved copy
Luna Labs is not responsible for errors contained in customer-approved artwork when the error was visible in the approved proof.
Vehicle and Site Conditions
Customers are responsible for accurately disclosing conditions that may affect work.
These may include:
- damaged paint
- rust
- previous repairs
- failing clear coat
- aftermarket parts
- existing wraps or adhesives
- vehicle modifications
- inaccessible surfaces
- site restrictions
Certain conditions may affect installation quality, warranty eligibility, scheduling, or pricing.
Additional vehicle/site requirements may be included in the applicable project agreement.
Scheduling
Scheduling information displayed through Luna Labs systems is subject to availability and confirmation.
Tentative dates are not guaranteed unless specifically confirmed.
Schedules may change due to:
- production delays
- weather
- material availability
- vehicle readiness
- customer delays
- site access
- staffing
- third-party services
- circumstances beyond reasonable control
Third-Party Products and Services
Some projects may involve third-party products, manufacturers, installers, technology providers, payment processors, or service partners.
Examples may include vehicle upfitting, commercial tint, printing, software, or materials.
Third-party products and services may be subject to separate terms, warranties, restrictions, and availability.
Luna Labs is not responsible for acts or omissions of independent third parties beyond obligations expressly accepted by Luna Labs in writing.
Payments
Payment terms for a project will be stated in the applicable quote, invoice, proposal, or agreement.
Unless otherwise stated, amounts are due according to those documents.
Failure to make required payments may delay or suspend:
- design
- production
- ordering
- scheduling
- installation
- delivery
Payment-processing services may be provided by third parties.
Communications
By providing contact information, you authorize Luna Labs to communicate with you about your inquiry or project through methods such as:
- phone
- text messaging
- customer portal
- project-status tools
You may manage promotional communications separately from essential project communications.
Availability of the Services
We may modify, suspend, update, or discontinue portions of the Services.
We do not guarantee that WrapLab or other online Services will operate without interruption or error.
We may perform maintenance, update features, change service providers, or modify functionality.
Disclaimer of Warranties
To the maximum extent permitted by applicable law, online Services and generated concepts are provided on an “as available” basis.
Luna Labs does not warrant that:
- generated concepts will be error-free
- concepts will precisely match final production
- the Services will always be available
- every generated result will be suitable for production
- all third-party systems will operate without interruption
Nothing in these Terms limits warranties expressly provided in a signed project agreement.
Limitation of Liability
To the maximum extent permitted by applicable law, Luna Labs will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of the online Services.
To the extent permitted by law, Luna Labs’ aggregate liability arising solely from use of the online Services and not governed by a separate written project agreement will not exceed the greater of:
- the amount you paid Luna Labs for the specific online Service giving rise to the claim during the preceding twelve months, or
- $100
This limitation does not apply where prohibited by law.
Separate project agreements may contain different liability terms governing physical products and services.
Indemnification
To the extent permitted by law, you agree to indemnify and hold Luna Labs harmless from third-party claims resulting from:
- Customer Materials you submit
- your infringement of third-party rights
- your unlawful use of the Services
- your violation of these Terms
This provision does not require indemnification for matters caused solely by Luna Labs where such indemnification is prohibited by law.
Electronic Transactions
You agree that electronic actions such as:
- submitting a project
- selecting a concept
- requesting a quote
- approving a proof
- accepting an estimate
- checking an acknowledgement
- clicking an acceptance button
may be used to record your instructions or agreement where permitted by law.
Keep copies of important project documents for your records.
Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except where applicable consumer law requires otherwise.
Subject to any controlling project agreement and any non-waivable legal rights, disputes relating to these Terms will be brought in an appropriate state or federal court located in or serving St. Johns County, Florida.
Changes to These Terms
We may update these Terms as our Services evolve.
Updated Terms will be posted with a revised Effective Date.
Where legally required, we may provide additional notice before material changes become effective.
General Terms
If any provision of these Terms is held unenforceable, the remaining provisions will remain effective to the extent permitted by law.
Our failure to enforce a provision does not waive our right to enforce it later.
You may not transfer your obligations under these Terms without our consent.
Luna Labs may assign these Terms in connection with a reorganization, merger, acquisition, or sale of the business.
